ARBITRATION NOTICE AND CLASS ACTION WAIVER:
EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.Velin ("Company," "we," "us," "our") operates the Velin desktop application and provides related products and services (collectively, the "Services"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your") and Velin, governing your access to and use of the Services.
By downloading, installing, registering for an account, or accessing the Services, you agree that you have read, understood, and agreed to be bound by these Terms. If you do not agree with all of these terms, then you are prohibited from using the Services and must immediately discontinue use.
Velin provides an AI-powered desktop application that assists users with on-screen tasks and information retrieval. The Services include both free and premium subscription offerings, with the free version providing limited functionality.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Velin application on a device that you own or control.
To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
We offer paid "Pro" plans on a monthly or yearly subscription basis, as well as "One-Time" purchase options.
Billing and Renewal: Subscription fees are billed in advance on a recurring basis. Subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the end of the current period.
Refunds: All purchases are final and non-refundable, except where required by law. We do not provide refunds or credits for any partial subscription periods or unused services.
Price Changes: We reserve the right to change our subscription fees. Any price changes will be communicated to you in advance and will only apply to subsequent billing cycles.
You agree not to use the Services for any purpose that is illegal or prohibited by these Terms, including but not limited to:
The Services and all of their original content (excluding content provided by you), features, and functionality are and will remain the exclusive property of Velin and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by discontinuing use of the Services and deleting the application.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IN NO EVENT SHALL VELIN, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
These Terms shall be governed by the laws of USA, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in 444 Alaska Avenue Suite #BVR692, Torrance CA, USA.
Any dispute arising from these Terms will be resolved through binding individual arbitration, not in a class, representative or consolidated action or proceeding. You waive your right to a jury trial and to participate in a class action.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
